While the first part offers an overview of the relevant legislation, the second part aims to answer the question as to whether insider trading should be prohibited by legislation. Insider dealing refers to the use of non-public and price-sensitive information for the purpose of gaining an unfair advantage and involves trading with company shares or other securities in a public financial market. Such conduct is both a criminal offence and a regulatory infringement under the civil code. There are various theories dealing with insider trading that offers arguments for and against the prohibition of insider trading. The misappropriation theory, the unfairness approach and the idea that insider dealing will negatively affect market confidence are all considered to be distinct reasons for regulating insider dealing. On the other hand, opponents argue that legalization of insider dealing would lead to increased market efficiency, fairer share pricing and fraud prevention. Despite the high costs required for prevention of insider dealing and the fact that very few if any companies have ever sued its officers for inside trading, it is widely regarded by the governments as being immoral and damaging for the markets and is therefore prohibited. The offences can be dealt with either civil or criminal regime, with the latter being far more difficult to apply in practice and thus less effective.

This impressive fact describes only a small part of one of the biggest industries in the EU. The European car industry is described as a "national champion" among EU competition law experts. However, even the best industry is nothing without an efficient distribution system. Distribution of motor cars in the EU has been governed for nearly 20 years by the legal device of block exemption regulations. The latest block exemption, Regulation 1400/023, came into force on 01 October 2002 and brought fundamental changes. This essay intends to analyse these changes and to predict their likely impact on the car distribution sector. For that purpose it is first necessary to describe the present distribution systems used by car manufacturers throughout the EU (A.I.), to outline the approach of EC competition law towards these specific distribution systems and to explain the Commission's general policy of granting block exemptions (A.II.). Part B of this paper is concerned with specific issues regarding the new block exemption. Major changes are highlighted and compared with the former regulation. The likely impact of the new regime on the distribution systems in the EU will be evaluated in part C. By taking into account current available data and trends in the motor industry I will give a projection of what outcome the new regulation may lead to.

Both forms have their advantages and disadvantages that depend upon various factors: the size of the envisaged business, its riskiness, capital requirements, need for a separation of ownership and management, liability, desired life of the venture, and transferability of share interests. The partnership has generally been used for smaller enterprises associated with less risk and capital requirements. The corporate form gives businessmen the opportunity to conduct risky business affairs with respect to potential tort liability as well as default risk without being exposed to unlimited personal liability because only the assets of the corporation can be used to satisfy claims. The benefit of limited liability came at the price of disadvantageous double taxation because, unlike a partnership, a corporation has been viewed as an independent entity and its income has consequently been taxed on the corporation's as well as the shareholders' level. This has driven smart entrepreneurs to conduct their business affairs in form of a hybrid entity, a combination of a partnership and a corporation, the limited partnership with a corporate general partner. In that form a corporation is the (sole) general partner of a limited partnership which results in limited liability for the owners and managers of this hybrid entity and the advantage of the preferential tax treatment of a partnership. Thus, this entity allows combining the benefits of a corporation and a partnership while reducing their shortcomings. The goal of this paper is to illustrate the development of the limited partnership with a corporate general partner in the United States over the past four decades and to analyze its advantages and disadvantages. The paper centers on the two main factors that have shaped this form the recognition of limited liability for its managers and the tax treatment of the limited partnership. For this purpose, the law of the limited partnership including its tax treatment will first be described. Secondly, the development of the hybrid form will be illustrated by means of the pertinent cases and statutory provisions. In the last chapter, I will elaborate on factors that have contributed to the relative unpopularity of the hybrid form in the United States.

The thesis argues that adoption of the convention is important for countries like Ethiopia. After introducing the research paper and the research process in the first chapter, the thesis, in chapter two, discusses the need for harmonization of international sales law. In chapter three, benefits of adopting the CISG is explained. While chapter four examines the adoption of the convention from the Ethiopian perspectives, the concluding chapter draws overall conclusions and puts forward recommendations based on the research findings. The United Nations Convention on Contracts for the International Sale of Goods (CISG) came in to force, having been adopted on 11th April 1980 at an international conference in Vienna, Austria. The convention was drafted with a view to create uniform rules to govern contracts for the international sale of goods by removing legal barriers in international business transaction. To date 83 states have adopted the Convention. However, Ethiopia did not ratify the Convention yet. The reasons for not adopting the convention is that Ethiopian government does not see commercial law reform as a priority, due to other more pressing needs and the relative importance of private sector in the national economy. Moreover, commercial law reform requires legal capacity that is seldom available locally.

A common energy market even closer Union characterized by the abolition of any barriers to the four fundamental freedoms. A main barrier for creating an integrated energy market is the lack of electricity interconnections and pipelines between different Member States, between neighbouring regions and regional markets. Insufficient investment and the lack of coordination are the challenge on the path towards interconnected energy markets. Consequently, the security of energy supply of certain Member States is redoubtable. Moreover, the existence of historical monopolies and oligopolies on the majority of national energy market and the presence of vertically integrated companies are further burdens for both market integration and competition. Indeed, competition in the energy markets is stagnating. To intensify cross-border competition, the EU advocates the extensions of cross-border transmission lines and the development of new infrastructures. Although interconnections enhance competition and are a condition sine qua non for a further energetic integration, they do not always increase energy efficiency.

Part II explores the Wirecard scandal, with special emphasis on the failures in internal financial controls. Part III then examines the U.S. legal framework in this domain, most importantly the Sarbanes Oxley Act of 2002 but also the Sentencing Guidelines, the Caremark Decision, the doctrine of respondeat superior, and the use of deferred- and non-prosecution agreements (DPAs and NPAs) to support enforcement of compliance obligations. The aim of this analysis is to illustrate how a healthy and effective compliance system regarding internal control over financial reporting is organized and enforced. Part IV then examines the current legal framework in Germany to implement a compliance system, finding, in effect, that there is none, at least as compared to the US model. This organization has its headquarters in Yaounde Cameroon was created in 1977 on the 2nd of march, it also comprises of 17 member counties which are former colonies of France. There exist some evidences on the economic growth effects of intellectual property rights but however there still exist mixed ideas on this debate which far from ending, in examining thedirect relationship which the intellectual property rights has on gross domestic product. This study however focuses on the main determinants of growth like research and development (R&D). most studies have not been able to establish a glaring relationship between intellectual property rights and gross domestic product as well as the possible differences that exist between intellectual property rights on gross domestic product variables and economic growth.

This research analyses the background of the country's oil and gas industry with specific reference to the adaptation of the Production sharing agreement (PSA) model in as far as oil and gas contracts are concerned. The research commences by undertaking an in depth analysis of the basic laws, regulatory, policy and institutional frameworks concerning the management and administration of the oil and gas sector. The research then focuses on the legal framework on the PSA model pertaining to the ownership of the resources, the issuing of licenses and concessions, in as well as efforts undertaken to safeguard the effects of signing PSAs on aspects of environmental protection. This research is also designed to critically analyse the weaknesses and strengths of the current legal regime as well as identifying the gaps in laws relating to the applicability of PSAs and measures being taken to tackle such gaps in the regulatory framework of the country and exploring the ways in which aspects of transparency and effective management of the oil and gas industry are concerned. The research paper also discusses if other factors such as the different stakeholders like media houses, civil societies, Non-governmental organisations and International Oil and gas companies have a had a role to play in influencing the PSA model as the most appropriate choice of the Ugandan oil and gas contracts. Conclusively the research puts forward recommendations regarding how the gaps in the legal framework on the PSA model should integrate or regulate the identifiable influences of other stakeholders in Uganda s oil and gas industry.
